Village Auctions Limited
These Auction Terms & Conditions govern participation in auctions conducted by Village Auctions Limited (“we”, “our”, “us”).
By registering for, bidding in, or participating in any auction (whether online, by proxy, telephone or in person where applicable), you agree to be legally bound by these Terms.
1. Auction Format
Our auctions are conducted as timed online auctions via our website.
Bidding may take place:
- Online through our auction platform
- By proxy bid submitted in advance
- By telephone (where agreed in advance)
All bidders must pre-register prior to each auction using our online registration process.
We reserve the right to refuse registration or bidding at our discretion.
Any Bids Placed within the final 1 minute of the auction will extend the auction by a further minute
2. Registration & Eligibility
By registering, you confirm that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding contract;
- All information you provide is true, accurate and complete;
- You will keep your registration details up to date.
We may require identity verification and anti-money laundering (AML) documentation before approving registration or allowing bidding.
Failure to provide required documentation may result in cancellation of registration or cancellation of the sale.
3. Property Particulars & Information
Property descriptions, photographs, plans and marketing materials are provided for general information only.
While we endeavour to ensure accuracy, we do not guarantee:
- Completeness
- Accuracy
- Currency
- Freedom from error
Prospective buyers must not rely solely on website information or catalogue descriptions.
Buyers are deemed to have:
- Inspected the property (where access has been made available);
- Reviewed the Legal Pack in full;
- Conducted all necessary searches and enquiries;
- Taken independent professional advice (legal, financial, surveyor, etc.).
All dimensions and measurements are approximate.
Location plans are for identification purposes only and are not to scale.
4. Addendum & Amendments
Prospective buyers must check:
- The auction addendum sheet;
- Any late addendum updates;
- The most recent version of the Legal Pack.
We accept no responsibility where a buyer fails to review updated information published prior to the end of the timed auction.
5. Seller’s Rights
The Seller reserves the right to:
- Withdraw a Lot at any time prior to exchange of contracts;
- Amend property details;
- Sell prior to the end of the timed auction.
Neither the Seller nor Village Auctions Limited shall be liable for abortive costs, losses or damages incurred by a prospective buyer if a Lot is withdrawn or sold prior.
6. Legal Conditions of Sale
Each Lot is sold subject to:
- The General Conditions of Sale;
- Any Special Conditions of Sale;
- The Legal Pack;
- Any addendum or amendments published prior to the end of the timed auction.
At the end of the timed auction, the highest bidder (provided any reserve price has been met) will enter into a legally binding contract to purchase the Lot.
The successful bidder must:
- Pay the required deposit immediately (as specified in the auction particulars);
- Pay any applicable fees;
- Complete within the timeframe set out in the Special Conditions of Sale.
7. Buyer’s Responsibilities
It is your responsibility to complete all pre-auction checks, including:
- Viewing the property (where access is available);
- Reviewing the Legal Pack in full;
- Checking Special Conditions and additional costs;
- Reviewing remote bidding terms;
- Arranging finance and surveys;
- Taking independent legal advice.
Failure to carry out due diligence does not invalidate a sale.
8. Guide Prices
Guide prices, estimates and values:
- Are provided as an indication only;
- Do not constitute formal valuations;
- May change at any time prior to the end of the timed auction.
Buyers must rely on their own judgement and professional advice.
9. Viewing Arrangements
Investment properties may be inspected strictly by arrangement and subject to tenant cooperation.
Vacant properties may be viewed by appointment only.
Interested parties must contact our office in advance to arrange access.
10. Contract Documentation Fee
For each Lot purchased, a contract documentation fee of £2,500 is payable by the buyer to Village Auctions Limited.
This fee is payable in addition to the purchase price and deposit.
Where refunds are applicable, please allow 3–5 business days for processing.
11. Online Bidding Disclaimer
We endeavour to ensure the smooth operation of our timed auction platform. However, the internet is not a guaranteed medium and:
- Interruptions;
- Delays;
- Technical failures;
- System errors;
may occur.
We do not guarantee that the website or bidding platform will be:
- Uninterrupted;
- Error-free;
- Secure;
- Free from viruses or harmful components.
To the fullest extent permitted by law, we exclude liability for any loss arising from:
- Technical failure;
- Inability to place a bid;
- Bids not being received or processed;
- System interruptions.
Bidders are advised to place bids in good time and not rely solely on last-minute bidding.
12. Limitation of Liability
To the fullest extent permitted by law, Village Auctions Limited excludes liability for any loss or damage arising from:
- Use of the website;
- Reliance on property information;
- Participation in the auction process.
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot legally be excluded under the laws of England and Wales.
13. No Professional Advice
We do not provide legal, accounting, tax, financial or survey advice.
Buyers and sellers must obtain independent professional advice prior to entering into any transaction.
14. Privacy
Our Privacy Notice forms part of these Terms.
By registering or participating in our auctions, you consent to the processing of your personal data in accordance with our Privacy Notice and applicable data protection legislation.
15. Governing Law
These Terms & Conditions and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the courts of England and Wales.
16. Acceptance of Terms
If you do not agree to these Terms, you must not use our website or participate in our auctions.
By registering, bidding or continuing to use our services, you confirm acceptance of these Terms as updated from time to time.
